1.1 What This Covers. These SDK Developer Terms ("Terms") govern your use of CK's client SDKs, developer tools, sample projects, and any other materials CK makes available to build applications that interact with the CK Spatial Fabric API (collectively, the "SDK").
1.2 What This Does Not Cover. These Terms do not govern: (a) your use of the CK Spatial Fabric API itself, or any Environment (including any developer sandbox, "dev box," or other Environment tier) provisioned through your organization — that use is governed exclusively by the CK Spatial Fabric API Terms of Service ("API ToS"), including its Wallet, Acceptable Use, and account provisions, which are incorporated here by reference; or (b) any CK game or Overworld product, which is governed by the applicable Game Terms of Service. Where the SDK facilitates access to an Environment, provisioning and use of that Environment is governed by the API ToS, not by these Terms.
2.1 Open-Source Components. Certain SDK components — client libraries, sample game projects, and other materials CK specifically designates as such — are made available under the MIT License. A component is open-source under these Terms only if it is accompanied by a LICENSE file or equivalent notice expressly stating so. Your use of those components is governed solely by that license, and nothing in these Terms restricts rights granted to you under it.
2.2 Proprietary Components. All other SDK materials — including developer tooling, editor plugins, dev box configuration and provisioning tooling, and any other CK-provided materials not accompanied by an open-source notice under Section 2.1 — are proprietary to CK. Subject to your compliance with these Terms, CK grants you a limited, non-exclusive, non-transferable, revocable license to install and use such materials solely to develop applications that interact with the CK Spatial Fabric API. This license is personal to you and may not be sublicensed.
2.3 Default Rule. If a component's licensing is not clearly designated under Section 2.1, it is proprietary and governed by Section 2.2.
2.4 Reservation of Rights. CK reserves all rights not expressly granted in Section 2.2. Nothing in these Terms transfers ownership of any proprietary SDK component to you.
With respect to proprietary components licensed under Section 2.2, you may not: (a) reverse engineer, decompile, or disassemble the component, except to the extent such restriction is prohibited by applicable law; (b) redistribute, sublicense, rent, lease, or sell the component to any third party; (c) remove or obscure any proprietary notices; (d) use the component to build a product or service that competes with CK Spatial Fabric; or (e) use the component other than to develop applications that interact with the CK Spatial Fabric API.
Any non-public technical documentation, architecture details, or other non-public information CK makes available in connection with the SDK constitutes CK Technical Information under Section 8.5 of the API ToS, and is subject to the confidentiality obligations set out there, whether or not you are otherwise a party to the API ToS.
5.1 Ownership. As between you and CK, you own the applications, games, and other content you create using the SDK ("Your Applications"), excluding any CK proprietary materials embedded within them under Section 2.2.
5.2 No Endorsement. Use of the SDK does not imply CK's endorsement of Your Applications.
6.1 Your Indemnification Obligation. You agree to defend, indemnify, and hold harmless CK and its officers, directors, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Applications; (b) your use or misuse of the SDK, including any use inconsistent with these Terms; (c) any claim that Your Applications or your use of the SDK infringes, misappropriates, or violates any third party's intellectual property rights, privacy rights, or other rights; or (d) your violation of these Terms or applicable law.
6.2 Indemnification Procedure. CK will promptly notify you of any claim for which it seeks indemnification, give you reasonable control over the defense and settlement of such claim, and provide reasonable cooperation at your expense. CK reserves the right to participate in the defense with counsel of its own choosing at its own expense.
You may not use CK's names, logos, or trademarks, including "Crowded Kingdoms" and "CK Spatial Fabric," except as expressly permitted in written brand guidelines CK may publish, such as a "Built with CK Spatial Fabric" attribution mark.
8.1 Open-Source Components. Open-source components are provided under the terms of their applicable license, which typically includes its own no-warranty language.
8.2 Proprietary Components. PROPRIETARY SDK COMPONENTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.3 No Fitness Warranty Absent a Written Agreement. EXCEPT AS EXPRESSLY SET FORTH IN A SEPARATELY EXECUTED WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED REPRESENTATIVE OF CK, CK MAKES NO REPRESENTATION OR WARRANTY THAT THE SDK IS FIT FOR ANY PARTICULAR USE CASE, INDUSTRY, OR REGULATORY REQUIREMENT, AND NO EMPLOYEE, AGENT, OR REPRESENTATIVE OF CK IS AUTHORIZED TO MAKE ANY SUCH REPRESENTATION OR WARRANTY ON CK'S BEHALF.
8.4 Exclusion of Indirect Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SDK OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF CK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.5 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CK'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SDK OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). This Section does not limit or reduce any separate limitation of liability that applies under the API ToS or any other agreement, each of which is governed by its own terms.
You represent that you are not located in, or a national or resident of, any country subject to U.S. trade embargo, and are not on any U.S. government restricted-party list. You will not use the SDK in violation of applicable export control or sanctions laws.
10.1 Proprietary License. The license granted in Section 2.2 terminates automatically if you breach these Terms. Upon termination, you must cease using and destroy all copies of proprietary SDK components in your possession.
10.2 Open-Source Components Unaffected. Termination under Section 10.1 does not affect your rights under any applicable open-source license, which survive independently of these Terms.
10.3 Environment Access. Termination of these Terms does not, by itself, terminate any separate Environment access governed by the API ToS, and vice versa; each is governed and terminated under its own terms.
11.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
11.2 Dispute Resolution. Any dispute arising out of or relating to these Terms will be resolved through direct negotiation, followed by mediation, followed by binding Final Offer Arbitration, consistent with the process set forth in Section 13.2 of the API ToS, which is incorporated here by reference. Either party may seek injunctive relief in court to prevent actual or threatened misappropriation of intellectual property.
11.3 Modifications. CK may update these Terms by posting a revised version. Continued use of the SDK after a revision constitutes acceptance.
11.4 Assignment. You may not assign these Terms or any rights or obligations hereunder without CK's prior written consent. CK may freely assign these Terms, including in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any purported assignment in violation of this Section is void.
11.5 Waiver. CK's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce such provision in the future.
11.6 Entire Agreement. These Terms, together with the API ToS (to the extent it applies to any Environment access) and any applicable open-source license, constitute the entire agreement regarding your use of the SDK.
11.7 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
